TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of ReliaHouse, including its websites, applications, interfaces, integrations, features, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

If you use ReliaHouse on behalf of a company, agency, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.

1. About ReliaHouse

ReliaHouse is a technology platform designed to help businesses and professionals manage real estate operations through organization, verification, automation, documentation, communication, and operational tracking tools.

ReliaHouse provides its services digitally and may make certain features available to users located in different countries and jurisdictions.

Products, features, integrations, and plans may vary depending on the country, applicable regulations, product stage, and relevant commercial terms.

ReliaHouse is the name used to identify the Platform and its services. Where applicable law requires the legal service provider to be specifically identified, that information may be provided through the contracting process, an order form, invoice, legal notice, onboarding documentation, or applicable jurisdictional notice.

2. Technology Service

ReliaHouse provides technology infrastructure and tools.

Unless a different service is expressly agreed to in writing, ReliaHouse does not act as a:

  • real estate agency;
  • broker or real estate agent;
  • property manager;
  • attorney or law firm;
  • notary;
  • certification authority;
  • insurer;
  • financial institution;
  • credit bureau;
  • governmental authority;
  • property registry; or
  • representative of any party to a transaction.

Use of the Platform does not make ReliaHouse an owner, landlord, tenant, buyer, seller, guarantor, co-debtor, surety, or party to transactions managed by users.

Real estate, business, financial, and legal decisions remain the responsibility of users and the parties involved.

3. Features

Depending on the features enabled, ReliaHouse may allow users to:

  • receive and organize applications or prospects;
  • manage property information;
  • collect documentation;
  • support property and prospect screening;
  • process and organize documents;
  • generate summaries, alerts, indicators, or analyses;
  • use AI-powered tools;
  • generate, complete, edit, or store agreements and documents;
  • maintain operational traceability;
  • track deadlines and operational statuses;
  • organize payment-related information;
  • send communications or reminders;
  • connect external services; and
  • automate certain operational tasks.

Features may change as the Service evolves.

4. Eligibility and Business Use

The Service is primarily designed for businesses, agencies, advisors, professionals, teams, and organizations engaged in legitimate real estate activities.

You represent that you have legal capacity to use the Service and will use it only in compliance with applicable law.

If you act on behalf of an organization, that organization is responsible for use of the Platform through authorized accounts under its control.

5. Accounts

Certain features may require an account.

You agree to:

  • provide reasonably accurate information;
  • keep relevant information current;
  • protect your credentials;
  • restrict access to authorized persons; and
  • notify us if you become aware of unauthorized access or a security compromise.

You are responsible for activity performed through your account, except to the extent directly caused by a security breach attributable to ReliaHouse.

6. Customer Data

You retain any rights you lawfully hold in data, documents, files, images, agreements, records, and other information submitted to the Service (“Customer Data”).

You grant ReliaHouse only the rights necessary to host, copy, transmit, organize, technically process, transform, and display Customer Data as needed to provide the Service.

ReliaHouse does not acquire ownership of Customer Data.

You represent that you have the rights, authority, permissions, or lawful basis necessary to provide and process Customer Data through the Platform.

7. Third-Party Information

Users may use ReliaHouse to process information relating to prospects, property owners, tenants, buyers, sellers, representatives, employees, contractors, or other individuals.

You are responsible for:

  • collecting such information lawfully;
  • providing required notices;
  • obtaining required authorizations where applicable;
  • limiting processing to legitimate purposes;
  • avoiding excessive or unnecessary collection; and
  • complying with obligations applicable to you as a Controller or equivalent role.

Where ReliaHouse processes information solely on a customer’s instructions, ReliaHouse may act as a Processor, Service Provider, or equivalent role under applicable law.

8. Prospect Screening

ReliaHouse may provide tools to collect, organize, compare, or analyze information relating to prospects.

Depending on the feature used, this may include identity information, documents, employment information, income information, voluntarily provided financial documents, document consistency, and other signals relevant to a transaction.

Results:

  • are decision-support tools;
  • may contain errors or omissions;
  • do not guarantee solvency;
  • do not predict future behavior;
  • are not official credit scores; and
  • do not replace legally required checks or professional analysis where necessary.

The decision to approve, reject, engage, or proceed with a person belongs solely to the user.

Users may not use ReliaHouse to make unlawful discriminatory decisions or decisions based solely on legally protected characteristics.

9. Property Screening

ReliaHouse may organize, extract, or analyze information relating to properties, registry documents, ownership, annotations, liens, companies, and other relevant matters.

Results depend on the documents, sources, and information available at the relevant time.

ReliaHouse does not guarantee that a report conclusively establishes:

  • legal ownership;
  • absence of liens or encumbrances;
  • absolute authenticity of a document;
  • complete registry status; or
  • legal viability of a transaction.

ReliaHouse tools do not replace title review, official searches, registry certifications, professional due diligence, or legal advice where appropriate.

10. Artificial Intelligence and Automation

Certain features may use artificial intelligence, language models, machine learning, automated extraction, or similar technologies.

Automated systems may produce inaccurate, incomplete, outdated, or unexpected results.

Users should apply appropriate human review before relying on automated output for decisions that may have legal, financial, or material effects on an individual.

ReliaHouse may use external technology providers to perform certain AI or processing functions.

Unless expressly disclosed otherwise and supported by an appropriate lawful basis, ReliaHouse does not intend to use Customer Data to train general-purpose models for purposes unrelated to providing the Service.

11. Documents and Agreements

ReliaHouse may allow users to create, complete, modify, store, or export agreements, forms, and other documents.

These features are technology tools and do not constitute legal advice.

A template may not be appropriate for:

  • every country;
  • every transaction;
  • every party;
  • every type of property; or
  • every set of circumstances.

Users are responsible for reviewing documents before using them and obtaining professional advice where appropriate.

12. Electronic Signatures and Records

Where ReliaHouse enables signatures, acceptances, confirmations, interaction records, or electronic audit trails, these tools are intended to facilitate digital documentation.

ReliaHouse does not thereby act as a notary or certification authority.

The validity, evidentiary value, or sufficiency of a signature or acceptance method depends on:

  • applicable law;
  • the nature of the document;
  • the identity of the parties;
  • the method used; and
  • any special formalities required by law.

Users are responsible for determining whether a particular method is suitable for their transaction.

13. Payments and Operational Tracking

ReliaHouse may allow users to record amounts, payments, deadlines, obligations, or statuses associated with an operation.

Unless a future feature is expressly identified as a payment service, ReliaHouse does not itself receive, hold, deposit, or transfer funds belonging to the parties.

Records displayed within the Platform do not by themselves constitute banking, accounting, or financial certifications.

14. Communications

The Service may enable communications through email, WhatsApp, or other channels.

Users are responsible for:

  • using legally permitted channels;
  • obtaining required authorizations;
  • honoring opt-out requests;
  • complying with applicable timing or frequency restrictions;
  • complying with commercial communication and debt collection rules; and
  • avoiding spam, harassment, or abusive communications.

ReliaHouse may impose technical limits to prevent abuse and protect users and third parties.

15. Third-Party Services and Integrations

ReliaHouse may interact with external providers supporting infrastructure, storage, authentication, analytics, communications, artificial intelligence, verification, productivity, and other functions.

Third-party services may be subject to separate terms and policies.

ReliaHouse does not control or guarantee the continuous availability of systems operated exclusively by third parties.

16. Acceptable Use

You may not:

  • use the Service for unlawful or fraudulent activities;
  • intentionally provide false information;
  • violate third-party rights;
  • access accounts, systems, or data without authorization;
  • introduce malware or harmful code;
  • interfere with Service operation;
  • bypass technical limits or access controls;
  • engage in unauthorized bulk extraction;
  • reverse engineer the Service where prohibited by law;
  • use the Service for unlawful discrimination;
  • collect personal information without a legitimate basis;
  • use results to unlawfully harass, threaten, or harm an individual; or
  • use the infrastructure in a way that creates material risk to ReliaHouse, its users, or third parties.

17. Intellectual Property

ReliaHouse and its licensors retain all rights in the software, interfaces, designs, trademarks, documentation, technology, methodologies, and other proprietary elements of the Service.

These Terms do not transfer ownership of the Platform to the user.

While an account remains authorized, the user receives a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

18. Feedback

If you provide feedback, ideas, or suggestions concerning the Service, ReliaHouse may use them to develop or improve the Platform without acquiring ownership of Customer Data.

19. Confidentiality

Each party will protect confidential information received from the other using a reasonable degree of care.

Information will not be considered confidential if it:

  • is lawfully public;
  • was lawfully known to the receiving party;
  • was lawfully obtained from a third party;
  • was independently developed; or
  • must be disclosed by law.

20. Security

ReliaHouse will implement reasonable technical and organizational measures considering the nature of the Service, data processed, identified risks, and the state of technology.

No Internet-connected system can guarantee absolute security.

Nothing in these Terms represents that ReliaHouse holds any particular certification, audit, compliance standard, or specific security level unless expressly stated and verifiable.

21. Privacy

Personal data processing is governed by the ReliaHouse Privacy Policy and any applicable privacy notice or data processing agreement.

Where ReliaHouse processes data for a business customer, the parties may also be subject to a Data Processing Agreement.

22. Beta, Experimental, and Free Features

During early stages of the Service, certain features may be offered for free, as pilots, in beta, or experimentally.

These features may:

  • change more frequently;
  • contain errors;
  • have usage limits;
  • be discontinued; or
  • be replaced by different versions.

Current free availability does not constitute a commitment that the Service will remain free.

23. Paid Plans

When ReliaHouse offers paid services, pricing, billing periods, applicable taxes, renewal conditions, and other commercial terms will be disclosed before the customer becomes obligated to pay.

An order form, commercial proposal, enterprise agreement, or other signed agreement will prevail over these Terms concerning matters specifically addressed in that agreement.

24. Availability and Changes

ReliaHouse seeks to maintain reasonable availability but does not guarantee that the Service will always operate without interruption or error.

We may modify, add, limit, or remove features for technical, legal, commercial, regulatory, or security reasons.

Where a change materially affects a paid service, we will seek to provide reasonable notice where circumstances permit.

25. Suspension

ReliaHouse may restrict or suspend an account where there is a reasonable basis to believe that:

  • these Terms have been breached;
  • fraud or unlawful activity is occurring;
  • a security risk exists;
  • use adversely affects other users;
  • payment obligations have not been met;
  • a competent authority requires it; or
  • suspension is necessary to protect the Platform or third parties.

Where reasonably possible and legally permitted, we will seek to provide notice of the suspension.

26. Termination

Users may stop using the Service subject to applicable commercial terms.

Following termination:

  • access to certain features will end;
  • export procedures may be available;
  • information may be retained for required periods; and
  • information may later be deleted or anonymized in accordance with our Privacy Policy and legal obligations.

Users remain responsible for maintaining independent copies of documents they are required to retain.

27. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided based on its availability and current stage of development.

ReliaHouse does not guarantee that:

  • every result will be accurate;
  • all third-party information will be current;
  • every risk will be detected;
  • every template will be appropriate;
  • a transaction will be completed;
  • a prospect will perform future obligations; or
  • the Service will satisfy requirements not communicated to ReliaHouse.

Nothing in this section limits rights or warranties that cannot legally be excluded.

28. Limitation of Liability

To the fullest extent permitted by applicable law, ReliaHouse will not be liable for indirect, incidental, special, or consequential losses, including loss of profits or opportunities, resulting from use of the Service.

ReliaHouse will not be responsible for consequences primarily resulting from:

  • false or inaccurate information supplied by users or third parties;
  • decisions made without reasonable review;
  • use of the Service contrary to these Terms;
  • conduct of parties to a real estate transaction;
  • outages solely attributable to external providers; or
  • events beyond ReliaHouse’s reasonable control.

Where liability may lawfully be limited, ReliaHouse’s aggregate liability relating to a paid service will not exceed the amounts actually paid by the customer for that Service during the twelve months preceding the event giving rise to the claim.

For free services, any additional limitation applies only to the extent permitted by applicable law.

Nothing in this section limits liability that cannot legally be limited.

29. Business Indemnification

To the extent permitted by applicable law, a business customer will be responsible to ReliaHouse for third-party claims arising directly from:

  • unlawful data collection by the customer;
  • unlawful instructions;
  • unauthorized communications;
  • customer-provided content infringing third-party rights; or
  • use materially contrary to these Terms.

This obligation does not cover harm directly attributable to unlawful conduct by ReliaHouse.

30. Changes to These Terms

We may update these Terms to reflect changes in the Service, law, regulation, technology, or our business model.

Where a change is material, we will seek to provide reasonable notice before it takes effect where required by applicable law.

The updated date will appear at the beginning of these Terms.

31. Mandatory Law and Jurisdictions

ReliaHouse may be used from different jurisdictions.

These Terms are not intended to exclude mandatory laws that legally apply to a user or the Service.

Unless an enterprise agreement, order form, or jurisdiction-specific notice states otherwise, disputes will be resolved according to the law and jurisdiction legally applicable to the relevant relationship.

If ReliaHouse establishes a specific contracting entity for a jurisdiction, the applicable terms may identify that entity, governing law, and competent forum.

32. Users in Colombia

Where the Service is used in a relationship subject to Colombian law, mandatory Colombian law will prevail over any conflicting provision of these Terms.

Personal data processing subject to Colombian law will additionally be governed by the relevant section of our Privacy Policy.

Nothing in these Terms is intended to exclude rights that cannot be contractually waived under Colombian law.

33. Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

34. Entire Agreement

These Terms, the Privacy Policy, and any applicable enterprise agreement constitute the agreement between the parties regarding use of the Service, except for matters expressly governed by a separate agreement.
